Scope of Services

  •  Agile Freelance Consulting (“AFC”) provides expert consultancy services in coaching, agile marketing, product initiation, and consulting. Our services are tailored to meet the specific needs of our clients.

Engagement

  •  Clients interested in engaging AFC’s services must submit a formal request outlining their requirements. AFC will review the request and determine if the proposed project aligns with our expertise and availability. Upon acceptance, AFC will provide a detailed proposal outlining the scope of work, deliverables, timeline, and fees.

Fees and Payment

  •  AFC’s fees are outlined in the proposal and are based on the scope of work and anticipated hours required. Clients are required to make an upfront payment or deposit before the commencement of the project.
  • Any additional expenses incurred during the project will be billed to the client accordingly.

Client Responsibilities

  •  Clients are responsible for providing accurate and timely information necessary for the successful completion of the project.
  • Any changes to project scope or requirements must be communicated promptly to AFC in writing.

Consultant Responsibilities

  • The Consultant will perform the Services with due diligence and professional skill.
  • The Consultant will keep the Client informed of project progress and any potential challenges.
  • The Consultant will maintain confidentiality of all Client

Intellectual Property

  •  All intellectual property rights associated with the deliverables produced during the engagement shall belong to the client upon full payment of fees.
  • AFC retains the right to reuse methodologies, frameworks, and general knowledge gained during the engagement for other clients.

Termination

  • The engagement may be terminated by either party upon written notice and for cause.
  • The Service Agreement will specify the terms of termination, including any applicable fees or charges.

Warranties and Disclaimers

  • The Consultant warrants the Services will be performed in a professional and workmanlike manner.
  • HOWEVER (Disclaimer Clause): The Consultant makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

  • The Consultant’s liability for any claim arising out of or related to the Services will be limited to the amount paid by the Client for the Services.
  • The Consultant will not be liable for any consequential, indirect, incidental, or punitive damages.

Indemnification

  • The Client agrees to indemnify and hold harmless the Consultant from any claims, losses, or expenses arising out of or related to the Client’s breach of these Terms.

Dispute Resolution

  •  Any disputes arising under this agreement shall be resolved through good faith negotiations between the parties.

Entire Agreement

  • These Terms constitute the entire agreement between the parties and supersede any prior or contemporaneous communications or agreements.

Confidentiality

  • AFC agrees to maintain the confidentiality of all client information and proprietary data disclosed during the course of the engagement. Clients are expected to maintain the confidentiality of AFC’s methodologies, processes, and any proprietary information shared during the engagement.

Severability

  • If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.

Amendment

  • These Terms may be amended only by a written agreement signed by both parties.
